2026 Audit Waiver

The Sandy Point Improvement Company is once again calling on its members to take an active role in the future of our community. A Special Meeting has been scheduled to vote on an important decision: whether to waive the annual audit requirement for the fiscal year ending March 31, 2026. While this may sound like a routine administrative matter, the outcome depends entirely on member participation—and every single vote truly matters.

By state law, associations like Sandy Point are typically required to conduct an annual audit when assessments exceed a certain threshold. However, that same law allows members to vote each year on whether to waive the audit requirement. This is not a permanent change—it applies only to this specific fiscal year. Any future waiver would require another vote by the membership.

The Board of Directors has carefully considered the costs and benefits of conducting an audit this year. The most recent audit cost the community over $35,000. While audits are an important financial safeguard, the Board believes that conducting them periodically—rather than annually—can still provide oversight while helping control expenses. With rising costs across the board and a recent increase in annual assessments, the Board is recommending a one-year waiver as a practical cost-saving measure.

That said, the decision does not rest with the Board—it rests with you, the members.

The easiest way to make your voice heard is by submitting your proxy vote ahead of time. Completing and returning your Directed Proxy Form ensures that your vote is counted—even if you are unable to attend the meeting in person.

You have two simple options for returning your proxy:

  • Drop it off at the Sandy Point Office
  • Mail it in using the provided instructions

Submitting your proxy early is one of the most impactful things you can do to support the process. It takes just a few minutes, but it plays a vital role in helping the community move forward.

Of course, members are also welcome to attend the Special Meeting in person and vote directly. Whether you participate in person or by proxy, what matters most is that you participate.

Sandy Point is more than just a place to live—it’s a community built on involvement and shared responsibility. Decisions like this one shape how resources are managed and how costs are controlled. Your vote helps guide those decisions.

If you have already returned your proxy, thank you for taking part. If you haven’t yet, now is the time. Don’t wait until the last minute—submit your proxy and make sure your vote is counted.

NOTICE OF SPECIAL MEETING OF SHAREHOLDERS

Date of Notice: April 13th, 2026

What: Special Meeting to Propose Annual Audit Waiver for Shareholder Approval

When: May 16, 2026 at 10:00am

Dear Sandy Point Improvement Company Shareholder,

 

You are hereby notified that a Special Meeting of the Shareholders of Sandy Point Improvement Company will be held on the date, time, and at the place set forth above.

PURPOSE OF THE MEETING

The purpose of this Special Meeting is to conduct a Shareholder vote on the following proposal:

Shall Sandy Point Improvement Company waive the requirement for an annual audit of its financial statements for the fiscal year ending on March 31, 2026, as permitted by RCW 64.38.045(2)?

In addition, the audit results from last year will be presented at the meeting but no action is necessary regarding this item.

VOTING — PROXY PARTICIPATION

Shareholders may vote at the Special Meeting in person or by directed proxy. Because the Board recognizes that many Shareholders may find it inconvenient to attend in person, a Directed Proxy Form is enclosed with this notice. Shareholders are encouraged to complete and return the proxy form by mail as soon as possible.  In the alternative, you may drop off your completed proxy form at the Sandy Point Improvement Company Office.  All proxy forms must be received (not just postmarked) prior to or at the Special Meeting. Proxies received after this will not be counted.

REQUIRED VOTING THRESHOLD

Pursuant to RCW 64.38.045(2), the audit waiver requires approval by 67% of the votes cast by shareholders at a meeting at which a quorum is present. A quorum consists of 34% of the Shareholders, as defined in Bylaws. Shareholders who return a proxy will be counted toward quorum.

ANNUAL WAIVER

Please note that this waiver, if approved, applies only to the fiscal year ending March 31, 2026. A separate Shareholder vote will be required each year the Board proposes to waive the audit requirement.

Pickleball Update

Pickleball update:

The demand for pickleball is greater than we ever expected. Here are some things that I am currently working with the Sandy Point Improvement Company Office to implement.

1) Key fob access for hours outside of when the pool is open.

2) Online booking system, with a mobile app. Schedule your court times at PicklePlanner, see availability and more.

3) Court rules and regulations to make it fair and reasonable for everyone and to help avoid confusion.

We have received loads of feedback on this and are working on it. More to come over the next week or two. Please hang in there as we work through the process.
